Job Description:
We are in search of an experienced and dynamic Corporate Counsel to join our team, reporting directly to the General Counsel. The chosen candidate will be responsible for supporting the General Counsel in overseeing all legal matters pertaining to our family office clients with a focus on licensing and compliance. The ideal candidate will possess a strong background in corporate law, regulatory compliance, and risk management, with the ability to provide strategic legal counsel to both senior management and clients.
Duties & Responsibilities
- Compliance Oversight: Directly manage compliance efforts and ensure adherence to applicable laws, regulations, and industry standards, including required local and professional licenses as well as beneficial ownership information (BOI) requirements.
- Legal Advisory: Provide expert legal counsel and guidance on a wide range of corporate law matters, including corporate governance, regulatory compliance, licensing, employment law, and crisis management.
- Risk Management: Collaborate with the General Counsel to identify legal risks and opportunities within the family office and develop strategies to mitigate risks while maximizing growth opportunities.
- Contract Management: Assist in drafting, reviewing, and negotiating various contracts, agreements, and legal documents, ensuring compliance with relevant laws and regulations. Support in overseeing contract record-keeping and monitoring key dates and terms.
- Litigation Management: Assist in managing and overseeing any legal disputes, litigation, or regulatory inquiries involving the family office, working closely with external legal counsel as needed.
- Training and Education: Assist in conducting training sessions and providing educational resources to internal stakeholders on legal and compliance matters to promote awareness and understanding.
- Collaboration: Collaborate with other departments, including finance, investment, and operations, to ensure alignment on legal and regulatory matters and facilitate cross-functional initiatives.
- Transaction Management: Support legal aspects of merger and acquisition transactions, including legal and licensing due diligence, negotiation of transaction agreements, drafting of deal documents, and coordination with external legal advisors, investment bankers, and other parties involved.
requirements & qualifications
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the bar association.
- Minimum of 5 years of experience practicing law, with a focus on corporate law or related areas. Excellent communication skills, with the ability to articulate legal concepts clearly and concisely to both internal and external stakeholders.
- Strong analytical and problem-solving abilities, with attention to detail and the ability to think critically in high-pressure situations.
- Demonstrated ability to collaborate effectively with colleagues at all levels of the organization. High ethical standards and a commitment to upholding confidentiality and professionalism.
- Proficient in Microsoft Office
- This position is based in our office and requires on-site presence during regular business hours. Remote or hybrid work arrangements are not available for this position.
